1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of AskSIM.ai ("AskSIM," "we," "us," or "our"), including our website, APIs, builder dashboard, decision engine, and related services (collectively, the "Service").

By creating an account, clicking "I agree," or using the Service, you agree to these Terms and to our Privacy Policy, Acceptable Use Policy, and all other policies referenced herein. If you do not agree, do not use the Service.

You must be at least 18 years old and capable of forming a binding contract to use AskSIM.

2. Description of Service

AskSIM is an AI-assisted software planning and review platform. The Service may generate build plans, file proposals, and shell commands using third-party AI providers. Execution of commands occurs on your local machine through a PowerShell agent that you install and control.

AskSIM does not guarantee that AI outputs are correct, complete, secure, or suitable for production. You are solely responsible for reviewing, approving, or rejecting every proposed action before execution.

3. Accounts & Security

You are responsible for maintaining the confidentiality of your credentials, device tokens, and API keys. You must notify us promptly of unauthorized access.

You agree to provide accurate registration information and keep it current. We may suspend or terminate accounts that violate these Terms or pose security risk.

4. Fees & Billing

Some features may require a paid membership. Prices and features are described on our Pricing page and may change with notice where required by law.

Payments are processed by third-party providers (e.g., Stripe). Subscription terms, renewals, and refunds are governed by our Refund & Subscription Policy.

5. Intellectual Property

AskSIM retains all rights in the Service, branding, software, and documentation. You receive a limited, non-exclusive, non-transferable license to use the Service for your internal business or personal projects.

You retain ownership of your project code, data, and prompts. You grant AskSIM a license to process your inputs solely to provide the Service, including storing plans, reviews, and audit logs as configured.

6. Prohibited Conduct

You may not misuse the Service, including attempting to bypass approval gates, execute malware, attack third parties, scrape the Service unlawfully, or resell access without authorization. See our Acceptable Use Policy for details.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-generated content may be inaccurate or harmful if executed without review. AskSIM is not a law firm, accounting firm, or licensed security auditor.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASKSIM AND ITS AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID TO ASKSIM IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

9. Indemnification

You agree to defend, indemnify, and hold harmless AskSIM from claims arising out of your use of the Service, your project code, commands you approve, violation of these Terms, or infringement of third-party rights.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, non-payment, or risk to the Service or other users.

Upon termination, your right to use the Service ends. Provisions that by nature should survive (liability limits, indemnity, dispute resolution) will survive.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, except where mandatory consumer protections apply in your jurisdiction.

Disputes will be resolved through binding arbitration on an individual basis, except you may bring qualifying claims in small claims court. YOU WAIVE CLASS ACTION RIGHTS WHERE ENFORCEABLE.

12. Changes

We may update these Terms. Material changes will be communicated via the Service or email. Continued use after the effective date requires renewed acceptance where we request it.
